3. In the event of any discrepancy between the contents of these Terms of Use and the rules and other explanations of the Service outside of these Terms of Use, the provisions of these Terms of Use shall prevail.

Article 2 (Definitions)
The following terms used in these Terms of Use shall have the meanings set forth below.
　1) "Service Usage Agreement" means the agreement between the administrator and users for the use of this service.
　2) "Intellectual Property Rights" means copyrights, patents, utility model rights, design rights, trademark rights, and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights).
　3) "Posted Data" means any content (including but not limited to text, images, video, and other data) posted or otherwise transmitted by the Users using the Service.
　4) "Administrator" means "Satie Inc."
　5) "Website" means the website operated by the Administrator under the "concertaquare.jp" domain and its subdomains (including the website after the domain or content of the Administrator's website has been changed for any reason whatsoever).
　6) "User" means an individual or legal entity that has been registered as a user of the Service in accordance with Article 3 (Registration).
　7) "Service" means the service named "Concert Square" provided by the Administrator (if the name or content of the service is changed for any reason, including the service after such change).

Article 3 (Registration)
1. A person who wishes to use the Service (hereinafter referred to as "Prospective User") may apply for registration with the Administrator to use the Service by agreeing to observe these Terms of Use, and providing to the Administrator certain information required by the Administrator (hereinafter referred to as "Registration Information") according to the method prescribed by the Administrator.
2. The Administrator shall determine whether or not to register the Prospective User who has applied for registration pursuant to Paragraph 1 of this Article (hereinafter referred to as the "Applicant") in accordance with the Administrator's criteria. If the Administrator approves the registration, the Administrator will notify the Applicant of such approval. The registration of the Applicant as the User shall be deemed to have been completed when the Administrator has notified the Applicant of the approval.
3. Upon completion of the registration as stipulated in the preceding paragraph, the Service Use Agreement is established between the Administrator and the User, and the User shall be able to use the Service in accordance with these Terms of Use.
4. The Administrator may refuse registration or re-registration if the Applicant falls under any of the following items, and shall not be obligated to disclose any reason for such refusal.
　1) In the event that all or part of the Registration Information provided to the administrator is false, erroneous, or omitted.
　2) If the Applicant is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of a legal representative, guardian, curator, or assistant.
　3) In the event that the Administrator determines that the Applicant is antisocial forces, etc. (meaning organized crime groups, members of organized crime groups, right-wing groups, antisocial forces, or other similar persons. The same shall apply hereinafter).
　4) In the event that the Administrator determines that the Applicant has violated a contract with the Administrator in the past, or is related to such a person.
　5) If the applicant has been subjected to any of the measures stipulated in Article 10.
　6) In any other cases where the Administrator deems the registration is not appropriate.

Article 4 (Change of Registered Information)
The User shall notify the Administrator of any change in the Registered Information without delay in a manner determined by the Administrator.

Article 5 (Management of User ID and Password)
1. The User shall, at its own responsibility, properly manage and store the user ID and password for the Service (hereinafter referred to as "User Account Information"), and shall not allow any third party to use the User Account Information or lend, transfer, change the name of, or sell. etc. the User Account Information.
2. The User shall be responsible for any damage caused by inadequate management of the User Account Information, error in use, or use by a third party, and the Administrator shall not be liable for any such damage.

Article 6 (Fees)
All of the Services are provided free of charge, and no fees will be charged.

Article 7 (Prohibited Matters)
In using the Service, the User shall not engage in any of the following acts, or any act that the Administrator deems to fall under any of the following items
1. Acts that violate laws and regulations or are related to criminal acts.
2. Fraud or threats against the administrator, other users of the Service, or other third parties.
3. Acts that are offensive to public order and morals.
4. Acts that infringe on the intellectual property rights, portrait rights, rights of privacy, honor, or other rights or interests of the Administrator, other users of the Service, or other third parties.
5. Transmitting information to the Administrator or other users of the Service that the Administrator deems to fall under or correspond to any of the following
　1) Information that contains excessively violent or cruel expressions.
　2) Information that contains computer viruses or other harmful computer programs.
　3) Information that contains expressions that defame or discredit the administrator, other users of the service, or other third parties.
　4) Information that contains excessively obscene expressions.
　5) Information that includes expressions that promote discrimination.
　6) Information that encourages suicidal or self-injurious behavior.
　7) Information that encourages the inappropriate use of drugs.
　8) Information that includes antisocial expressions.
　9) Information that requests the spread of information to a third party, such as chain mail.
　10) Information that includes expressions that may cause discomfort to others.
　11) Information that aims to encounter unacquainted persons of the opposite sex.
6. Any act that places an excessive load on the Service's network or system.
7. Acts that may interfere with the operation of the Service.
8. Unauthorized access or attempts to gain unauthorized access to the Service's network or system, etc.
9. Acts of impersonating an administrator.
10. Acts of using the User Account Information of other users of the Service.
11. Acts of advertising, publicity, solicitation, or sales activities on the Service that are not authorized in advance by the Administrator.
12. Acts for the purpose of collecting information on other users of the Service.
13. Acts that cause disadvantage, damage, or discomfort to other users of the Service or other third parties.
14. Acts that violate the rules regarding the use of the Service posted on this Website.
15. Acts that aim to provide benefits to antisocial forces, etc.
16. Acts that aim to encounter unacquainted persons of the opposite sex.
17. Acts that directly or indirectly cause or facilitate any of the aforementioned actions.
18. Other acts that the Administrator deems inappropriate.

Article 8 (Suspension of this Service, etc.)
1. The Administrator may suspend or discontinue the Service, in whole or in part, without prior notice to the User, in any of the following cases
　1) In case of urgent inspection or maintenance of computer systems related to the Service.
　2) In the event of an accidental shutdown of computers, communication lines, etc.
　3) In the event of force majeure, such as earthquake, lightning, fire, windstorm, flood, power outage, or natural disaster, which renders the operation of the Service impossible.
　4) In any other cases where the administrator deems it necessary to suspend or discontinue the service.
2. The administrator shall not be liable for any damages incurred by users based on measures taken by the administrator in accordance with this Article.

Article 9 (Attribution of Rights)
1. All the Intellectual Property Rights related to the Website and the Service belong to the Administrator or any party that has licensed the Administrator to use the Website and the Service. The permission to use the Service under these Terms of Use does not imply a license to use the Intellectual Property Rights of the Administrator or any person who has granted a license to the Administrator with respect to the Website or the Service.
2. You represent and warrant to the Administrator that you have the legal right to post or otherwise transmit the Posted Data and that the Posted Data does not infringe upon the rights of any third party.
3. You grant to the Administrator a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works from, display, and perform the Posted Data. You also grant to other users a non-exclusive license to use, reproduce, distribute, create derivative works from, display and perform the Posted Data that you post or otherwise transmit using the Service.
4. The User agrees not to exercise moral rights against the Administrator or any person who has succeeded to or been granted rights by the Administrator.

Article 10 (Cancellation of Registration, etc.)
1. The Administrator may, without prior notice or demand, delete the Posted Data, temporarily suspend the User from using the Service, terminate the User's registration as a User, or cancel the Service Usage Agreement, if any of the following grounds apply to the User
　1) In the event that the User violates any of the provisions of these Terms of Use.
　2) In the event that any falsehood is found in the Registration Information.
　3) If the User stops making payments or becomes insolvent, or files a petition for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or other similar proceedings.
　4) When there has been no use of this Service for 6 months or more.
　5) When there has been no response to inquiries or other communications requesting a response from the Administrator for 30 days or more.
　6) If any of the items in Article 3, Paragraph 4 applies.
　7) In any other cases where the Administrator deems it inappropriate to use the Service, register as a User, or continue the Service Usage Agreement.
2. In the event of any of the events listed in the preceding paragraphs, the User shall lose the benefit of time with respect to all debts owed to the Administrator, and shall immediately pay all such debts to the Administrator.
3. The Administrator shall not be liable for any damages incurred by the User as a result of actions taken by the Administrator in accordance with this Article.

Article 11 (Change or Termination of the Service)
1. The Administrator may change the contents of the Service or terminate the provision of the Service at the convenience of the Administrator. If the Administrator terminates the provision of the Service, the Administrator shall notify the User in advance.
2. The Administrator shall not be liable for any damages incurred by the User based on actions taken by the Administrator pursuant to this Article.

Article 12 (Disclaimer of Warranty and Disclaimer of Liability)
1. The Administrator makes no warranty that the Service will be suitable for the User's particular purpose, that it will have the expected functionality, commercial value, accuracy, or usefulness, that the User's use of the Service will conform to applicable laws, regulations, or internal rules of any industry organization, or that defects will not occur.
2. The Administrator shall not be liable to compensate for any loss due to errors in the information registered by the User or the Administrator.
3. The Administrator shall not be liable for any interruption, suspension, termination, unavailability, or modification of the Service by the Administrator, deletion or loss of messages or information sent by the User to the Service, deletion of the User's registration, loss of the Posted Data due to use of the Service, or malfunction or damage to equipment, or any other damages incurred by User in connection with the Service (hereinafter referred to as "User Damage").
4. Even if the Administrator is liable for any reason, the Administrator shall not be liable for compensation, except in cases of willful misconduct or gross negligence on the part of the Administrator, and shall not be liable for any incidental, indirect, special, future or lost profits damages.
5. The Administrator shall not be liable for any transaction, communication, or dispute between a user and another user or a third party in connection with the Service or the Website.

Article 13 (Confidentiality)
The User shall treat as confidential any non-public information disclosed by the Administrator to the User in connection with the Service, requesting that such information be treated as confidential, except with the prior written consent of the Administrator.

Article 14 (Handling of User Information)
1. The handling of user information by the Administrator shall be governed by the separate Administrator Privacy Policy (https://en.concertsquare.jp/privacy), and the User agrees to the Administrator's handling of the User's user information in accordance with this Privacy Policy.
2. The Administrator may, at its discretion, use and disclose information, data, etc. provided by the User to the Administrator as statistical information in a form that does not personally identify the User, and the User shall not object thereto.

Article 15 (Modification of These Terms of Use, etc.)
The Administrator may change the Terms of Use. If the Administrator changes the Terms, the Administrator shall notify the User of such changes, and the User shall be deemed to have agreed to the changes if the User uses the Service after notification of such changes or fails to cancel his/her registration within the period specified by the Administrator.

Article 16 (Communication/Notification)
Inquiries and other communications or notifications from the User to the Administrator concerning the Service, as well as notifications or communications from the Administrator to the User concerning changes to these Terms of Use, shall be made in the manner prescribed by the Administrator.

Article 17 (Transfer of Status under Service Usage Agreement, etc.)
1. The User may not assign, transfer, pledge as security, or otherwise dispose of its position under the Service Usage Agreement or its rights or obligations under these Terms of Use to any third party without the prior written consent of the Administrator.
2. In the event that the Administrator transfers the business of the Service to another company, the Administrator may transfer the position under the Service Usage Agreement, the rights and obligations under these Terms of Use, and the User's Registered Information and other user information to the transferee of such business transfer, and the User agrees in advance to such transfer in accordance with this paragraph. The business transfer stipulated in this paragraph shall include not only ordinary business transfers, but also corporate divestitures and any other cases in which business is transferred.

Article 18 (Severability)
If any provision of these Terms of User or part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws or regulations, the remaining provisions of these Terms of Use and the remaining portions of any provision that is determined to be invalid or unenforceable in part shall remain in full force and effect.

Article 19 (Governing Law and Court of Jurisdiction)
1. These Terms of Use and the Service Usage Agreement shall be governed by and construed in accordance with the laws of Japan. In the event that the Service involves the purchase or sale of goods, the parties agree to exclude the application of the United Nations Convention on Contracts for the International Sale of Goods.
2. Any and all disputes arising out of or in connection with these Terms of Use or the Service Usage Agreement shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of the first instance.
